John B. Waters

Legal Experience
John B. Waters is a partner with the firm of Kamensky Rubinstein Hochman & Delott, LLP and practices in the areas of federal and state taxation and legal business planning. Mr. Waters has experience in structuring reorganizations of corporations and limited liability companies, business acquisitions and divestitures, and advanced structuring using single member limited liability companies and qualified subchapter S corporations. Mr. Waters' services include assisting clients with private placements of stock, limited partnership interests and limited liability company interests, organization of public charities and private foundations, and structuring physician-hospital joint ventures. Mr. Waters has represented clients in tax controversies before the IRS and State of Illinois. Mr. Waters also has experience in working with physician practices to meet their legal business needs from formation through expansion, including organization of medical corporations, professional corporations and professional limited liability companies, shareholder and associate employment agreements, buy-sell agreements, practice mergers and acquisitions, spin-offs of physician and dental practices and group practice structuring.

Bar Association and Other Memberships
Mr. Waters was admitted to the bar in 1991, Idaho and 1993, Illinois. Mr. Waters is a member of the American Bar Association, Section of Taxation, and the Illinois State Bar Association, Sections of Federal Taxation and Health Care Law. Mr. Waters was also a member of the Idaho Law Review, 1990 and 1991.
